LossScout Terms of Service

1. Overview & Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of the LossScout platform (the "Service"), operated by LossScout LLC ("LossScout," "we," "us," or "our"). "Customer," "you," or "your" refers to the business entity that creates an account and subscribes to the Service, and to the individual users it authorizes to access that account.

By creating an account, clicking to accept these Terms, or using the Service in any way, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

You represent that you are at least 18 years old, are authorized to bind the business entity you represent, and that the business is validly organized and in good standing.

Key terms used throughout:

2. The Service & Data Accuracy Disclaimer

LossScout identifies potential property-loss Leads by monitoring publicly broadcast emergency-dispatch radio traffic, cross-referencing publicly available county property/appraisal records, and supplementing this with data from licensed third-party property and consumer-data providers. Leads are delivered to Customer through the LossScout web application, through SMS, WhatsApp and/or Telegram alerts, and through any Integrations Customer sets up.

Leads are provided "AS IS" and "AS AVAILABLE." Radio dispatch audio can be garbled, misheard, or incomplete; addresses may be approximate rather than exact; property ownership, occupancy, and contact records can be outdated or incorrect; and third-party data providers may themselves supply inaccurate or incomplete information. LossScout does not guarantee the accuracy, completeness, timeliness, or currentness of any Lead, address, ownership record, or contact detail, and makes no representation that a given event indicates any particular type or severity of property damage.

Customer is solely responsible for independently verifying any Lead — including the property address, ownership, and the nature of any loss — before relying on it for any business, marketing, or contractual purpose.

LossScout does not guarantee any minimum volume of Leads, and does not guarantee that County Entitlements are exclusive: LossScout may make Leads for the same county and event available to other subscribing customers unless a separate written agreement states otherwise.

LossScout Lead Alerts (text messages). Account users may choose to receive lead alert text messages from LossScout at a mobile number they provide. SMS alerts are optional and are not required to create an Account or use the Service; each user opts in for their own number by checking the SMS consent box when accepting their invitation. Alerts notify you of property-loss incidents in your company's subscribed counties, with a link to the Lead in the LossScout web application. Message frequency varies with incident volume. Message and data rates may apply. Reply HELP for help or contact info@lossscout.com. Reply STOP at any time to stop receiving text messages; you will receive one final message confirming you have been unsubscribed. Carriers are not liable for delayed or undelivered messages. See the Privacy Policy for how we handle mobile numbers.

Integrations. Customer's owners and admins may set up Integrations that send Leads, claim information, owner contact details (when enabled), photos and project files to web addresses Customer chooses, including services operated by third parties such as n8n, Zapier or a CRM provider. Customer directs and authorizes each of these transfers. Once data is delivered to an Integration, it is held by Customer and the services Customer chose, under their terms and at Customer's responsibility, and Sections 2, 4 and 5 continue to apply to Customer's use of it. Customer is responsible for keeping Integration web addresses, signing secrets, and the links to photos and files included in Integration messages confidential; those links open without a LossScout login until they expire. LossScout does not guarantee delivery to any Integration, is not responsible for third-party services, and may pause or switch off an Integration that keeps failing or that LossScout reasonably believes is being misused.

3. Subscriptions & Billing

Access to Leads for a given county requires an active County Entitlement, billed monthly in advance at the rate shown at checkout. Subscriptions are processed by our payment processor, Stripe; by subscribing, you also agree to Stripe's terms governing the payment method you provide.

Trials. A new County Entitlement may begin with a trial period during which access is provided without charge. Unless you cancel before the trial ends, the entitlement automatically converts to a paid subscription and billing begins.

Recurring billing. Subscriptions renew automatically each month until canceled. You authorize LossScout and Stripe to charge your payment method on file for each renewal, plus any applicable taxes.

Adding counties. Adding a new county creates a separate County Entitlement, billed at that county's then-current rate; it does not affect the billing of counties you already subscribe to.

Cancellation. You may cancel a County Entitlement at any time through your account settings or by contacting us. Cancellation stops future renewals; you retain access through the end of the billing period already paid for. Fees already paid are non-refundable except where required by law.

Failed payment. If a renewal payment fails, we may suspend access to that county's Leads until payment is resolved, and may terminate the entitlement after a continued failure to pay.

Price changes. We may change subscription pricing with at least 30 days' notice; continued use after a price change takes effect constitutes acceptance of the new price for future billing periods.

4. Your Compliance Obligations (TCPA, Do-Not-Call & Solicitation Rules)

LossScout does not contact property owners, occupants, or any other individual on Customer's behalf, and is not a party to any communication Customer initiates using information obtained through the Service.

Where available, LossScout may include contact information (phone, email) and channel-screening indicators — such as National or state Do-Not-Call registry status, or known-litigator-list flags — alongside a Lead. These indicators are informational only, sourced from third-party providers, may be incomplete or out of date, and are not a substitute for Customer's own compliance program. LossScout makes no representation or warranty that contacting any individual identified in a Lead complies with the Telephone Consumer Protection Act (TCPA), the National Do-Not-Call Registry, any state Do-Not-Call law, CAN-SPAM, or any other applicable telemarketing, privacy, or consumer-protection law.

You are solely responsible for determining whether, and how, to contact any individual identified through the Service, and for ensuring that any call, text message, email, or other outreach you make complies with all applicable federal, state, and local law — including obtaining any consent required before calling or texting a consumer.

Professional and solicitation rules. Some professions have their own rules about contacting people who have just suffered a loss, including restrictions on when and how attorneys and public insurance adjusters may solicit them. Customer is solely responsible for knowing and following every licensing, solicitation and professional-conduct rule that applies to its business, in Texas and anywhere else it operates. LossScout does not provide legal advice and makes no representation that using a Lead for any purpose complies with those rules.

You agree to indemnify and hold LossScout harmless from any claim, fine, or liability arising from outreach or communications you or your representatives make using information obtained through the Service, as further described in Section 5.

5. Acceptable Use, Intellectual Property, Disclaimers, Liability & Indemnification

Acceptable use. You will use the Service only for your own business's lawful sales and marketing purposes. You will not: resell, sublicense, or redistribute Leads or Service data outside your own organization without our written consent (sending Leads to your own systems through an Integration, for your own business use, is permitted — see Section 2); share Account login credentials outside your authorized users; scrape, reverse-engineer, or build a competing product from the Service; or use the Service in a way that violates any law.

Intellectual property. LossScout retains all right, title, and interest in the Service, its software, and its compiled/aggregated data. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access the Service and use Leads for your own business during your subscription.

Customer content. Customer keeps ownership of its Customer Content. Customer grants LossScout a limited license to store, process, display and transmit Customer Content only to provide the Service, including sending it to Integrations Customer sets up. Customer is responsible for having the rights and any consents needed to upload Customer Content, and will not upload anything unlawful, infringing or malicious. Customer's users can delete Customer Content in the Service; LossScout may delete remaining Customer Content within a reasonable period after the Account ends.

Disclaimers. Except as expressly stated in these Terms, the Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.

Limitation of liability. To the maximum extent permitted by law, LossScout's total liability arising out of or relating to these Terms or the Service will not exceed the fees Customer paid to LossScout in the three (3) months preceding the event giving rise to the claim. LossScout will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits or lost business, even if advised of the possibility of such damages.

Indemnification. You agree to indemnify, defend, and hold harmless LossScout, its officers, employees, and agents from any claim, damage, liability, cost, or expense (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) any communication, outreach, or contact you or your representatives make using information obtained through the Service, including any claim under the TCPA, a Do-Not-Call law, or a professional-solicitation rule; or (d) Customer Content, or Customer's handling of data delivered to its Integrations.

6. Term, Termination, Governing Law, Changes & Contact

Term & termination. These Terms remain in effect while you maintain an Account. You may terminate by canceling all County Entitlements. We may suspend or terminate your Account immediately for non-payment, breach of these Terms, or misuse of the Service, or with 30 days' notice for any other reason. On termination, your right to access the Service ends; Sections 2, 4, 5, and this Section 6 survive termination.

Governing law & venue. These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to jurisdiction there.

Changes to these Terms. We may update these Terms from time to time. For material changes, we will provide notice by email or through the Service before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

General. These Terms, together with the Privacy Policy, are the entire agreement between you and LossScout regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.

Contact. Questions about these Terms can be sent to legal@lossscout.com.
